Replacing MPM-COM with 4GEN model

Terms and conditions of the offer: Exchange of MPM-COM for the 4GEN model

§1 General provisions

1. These Regulations (hereinafter referred to as the “Regulations”) specify the rules of the offer to exchange the MPM-COM model interface for the 4GEN interface model, organized by : MaxiEcu Sp. z oo with its registered office in Gdynia (81-589) at ul. Fleszarowa-Muskat 7, entered into the Register of Entrepreneurs of the National Court Register maintained by the District Court of Gdańsk – Pół noc in Gdańsk under the KRS number 0001080295, , NIP: 5862323620, REGON: 36849635500000
2. Offer valid until further notice .

§2 Definitions

• User – a natural person with full legal capacity , being the owner of the MaxiEcu brand interface , who decides to use the offer .​​
• 4GEN interface / MPM-COM – an interface with a unique 10 (4GEN) or 8 (MPM-COM) character serial number, which is the hardware key for a given license, assigned to the User account .
• MaxiEcu User Account – an account on the website under the domain www.maxiecu.eu , for which the User has an individual login and password and on which the license data are saved .
• Interface replacement – is performed by editing the User Account, during which the MPM-COM model interface is removed along with the license and the 4GEN model interface is added with assignment to the existing license.
• Order fulfillment – includes the exchange of the interface and the shipment of the new 4GEN interface to the address indicated in the order . The document confirming the conclusion of the agreement is the license key update and the purchase document issued for the order . The order is fulfilled during the working hours of the Sales Department of the organizer, i.e. on working days from Monday to Friday , between 7:00 and 15:00 .
• MaxiEcu 2 – Windows version software licensed by MaxiEcu Sp. z o. o. based in Gdynia in combination with an interface and a license for a selected range of brands. System requirements: Windows 8 (or newer). Range of functions (button marked ” MaxiEcu 2 ” /button must be red ): https://maxiecu.com/en/products/functionality-search/
• MaxiEcu 3 – software in Windows and Android versions licensed by MaxiEcu Sp. z o. o. based in Gdynia in combination with an interface and a license for a selected range of brands. System requirements: Windows 10 (or newer), 64 bit and Android 8 (or newer). Range of functions (button with the designation ” MaxiEcu 3 ” /the button must be red ): https://maxiecu.com/en/products/functionality-search/

§3 Terms of the offer

1. Using the offer is completely voluntary .
2. The offer can only be used via the MaxiEcu User Account or directly at the organizer’s office.
3. The offer includes the purchase of a new 4GEN interface, which will be a new hardware key for the current MaxiEcu 2 license, replacing the current MPM-COM interface (the MPM-COM interface is permanently removed from the account and from the license).
   For example, the User has an MPM-COM interface no. XXX, which is a hardware key for the MaxiEcu 2 license with the Audi and BMW brands. After the order is completed, the User will have : a new 4GEN interface no . ZZZ , with a full manufacturer’s warranty period, which will be a hardware key for: the MaxiEcu 2 license with the Audi and BMW brands . At the same time – the MPM-COM interface no. XXX is removed from the account and ceases to be a hardware key for the Audi and BMW brands – it is it provides access only to the OBD module with basic diagnostics .
4. The MPM-COM interface (with access to the OBD module only ) may be the subject of sale , transfer or other forms of making available to another person. In such
   a case, the User is obliged to report to the Organizer the data for which a new User account is to be created . The report must be made through the User account . The Organizer shall not be liable for any sale / transfer / making available transaction .
5. After introducing the new 4GEN model interface, the User has the standard option of purchasing an extension of the MaxiEcu 2 license with a new brand
   ( order by sending a form on the User’s account with information about which brand is required) and gains the option of purchasing an extension to the new MaxiEcu 3 license
   . For example, the User has a 4GEN interface no. ZZZ, which is a hardware key for the MaxiEcu 2 license with the Audi and BMW brands.
   -> The user can order a new brand , e.g. Citroen for the MaxiEcu 2 license. As a result, he will have : MaxiEcu 2 with the Audi, BMW, Citroen brands
   -> The user can order a new brand , e.g. Citroen for the MaxiEcu 3 license. As a result, he will have : MaxiEcu 2 with the Audi , BMW brands and MaxiEcu 3 licenses
   for the Citroen brand
6. The offer price visible in the account takes into account the discount from the regular price for the purchase of a given interface model.
7. The offer does not include the shipping price . The shipping cost depends on the country and delivery method. The domestic shipping price list is in accordance
   with the price list on the Organizer’s store website: https://shop.maxiecu.eu/shop/footer/delivery . The international shipping price is displayed when ordering , after selecting the delivery country. In the event of the lack of availability of a given country on the list of countries to choose from – please contact us at shop@maxiecu.com
8. The Organizer is not responsible for any difficulties in delivering the order resulting from providing incorrect or incomplete address data. There is also no influence
   on the time of delivery or its course (including, for example, delays , difficulties on the part of the carrier , destruction or loss). Any comments regarding the delivery should be directed directly to the carrier carrying out the delivery . 
9. When ordering, the User indicates their preferred payment method . The order is accepted after the payment has been recorded /confirmed by the selected payment system ( does not apply to cash on delivery shipments). The waiting time for payment is 7 calendar days from the date of placing the order ( does not apply to cash
   on delivery shipments ). An order not paid on time will be canceled.
10. After the payment has been recorded / after the payment has been confirmed by the selected payment system ( does not apply to cash on delivery shipments), the order will be prepared for shipping and will be transferred to the selected carrier on the same day or at the latest on the next business day during the working hours
    of the Sales Department , i.e. working days from Monday to Friday , between 7:00 a.m. and 3:00 p.m.
11. The User may cancel the order until the shipment is dispatched ( handed over to the carrier ) by the Organizer.
12. A given User may use only one variant of the offer, i.e. the offer ” Replacement of MPM-COM with the 4GEN model ” or the special offer with the MaxiEcu 3 license .
    In the event of placing an order for both offers, only the one for which payment is recorded first will be implemented .
13. The Organizer may refuse to make a purchase under the terms of the offer if the User fails to comply with or violates the provisions of these Regulations.
14. By using the offer, the User confirms his/her consent to the execution of the order in accordance with the Regulations of the Organizer’s online store

§5 Warranty

1. The 4GEN model interface is covered by a 2-year manufacturer’s warranty. The terms of complaints under the warranty, in accordance with the Regulations (ttps://shop.maxiecu.eu/shop/footer/terms ) and information on the Organizer’s store website.

§5 Personal Data

1. The controller of personal data in the scope of execution of sales agreements is : MaxiEcu Sp. z oo with its registered office in Gdynia (81-589) at
   7 Fleszarowa-Muskat Street , entered into the Register of Entrepreneurs of the National Court Register maintained by the District Court of Gdańsk – Północ in Gdańsk under the KRS number 0001080295, NIP: 5862323620, REGON: 36849635500000
2. User ‘s personal data will be processed in accordance with the principles set out in the Personal Data Protection Act and other generally applicable legal provisions .
3. Data will be processed for the purpose of fulfilling the offer. Each User has the right to access the content of their data, correct it and request its deletion . Providing data is voluntary, but necessary to fulfill the order as part of the offer.
4. The Administrator may entrust the processing of personal data to other entities, to the extent necessary to fulfill the order , i.e. for example, to deliver parcels with the ordered product. Users ‘ personal data are not transferred outside the European Union.
5. Data are made available to state authorities in cases provided for by law.
6. Any notifications or requests regarding personal data can be submitted to us via the User Account or to the following address: team@maxiecu.com

§6 Final provisions

1. The User declares that he / she has read the Regulations and accepts them without reservations . In the event of any doubts as to the provisions of the Regulations , the User has the right to contact the organizer at any time for a proper interpretation of their provisions .
2. The competent court to resolve any disputes arising from the application of the Regulations is the court with jurisdiction over the seat of the organiser .
3. The offer does not constitute a game of chance or a mutual bet within the meaning of the Act of 19 November 2009 on gambling (Journal of Laws No. 201, item 1504, as amended)
4. These Regulations will be available throughout the duration of the offer from the organizer and visible in the User’s account in the offer description.
